STANDARD TERMS AND CONDITIONS OF SALE

1. General

The client expressly waives its own standard terms and conditions, even if issued after these Terms and Conditions of Sale. Any deviation must be agreed in advance and confirmed in writing by both parties.

2. Payment Terms

Payment terms shall be as mentioned in the Proforma Invoice (PI), unless otherwise specified in the invoice or order.

  • In case of non-payment by the due date, the Company reserves the right to charge interest at 15% per annum on the outstanding amount.
  • The Company reserves the right to suspend services without prior notice in case of delayed payment.
  • If payment remains outstanding for more than 60 days, the Company may initiate debt recovery proceedings. All related legal and recovery costs shall be borne by the client.

3. Taxes & Withholding

Any withholding tax applicable as per the client’s country laws shall be borne by the client.

The Company shall receive the full invoice amount, without deductions related to local tax regulations.

4. Liability & Performance

The Company will make its best efforts to deliver services within agreed timelines. However, all obligations are obligations of effort, not guaranteed results.

The Company shall not be liable:

  • For indirect damages or third-party claims
  • To appear as a third party in any claim made by an end user against the client

5. Claims

Any claim must be submitted in writing via registered mail to the Company’s registered office within 8 days of delivery of goods or services.

Failure to do so will result in the claim being considered invalid.

6. Governing Law

All contractual relationships shall be governed exclusively by the laws of Nepal.

7. Radio Equipment (UHF / VHF / HF / Air Band)

Warranty

  • Radio Set: 1 Year Warranty
  • Battery: 3 Months Warranty
    (Valid from the date of delivery)

Installation & Operation

  • The client must provide:

    • Proper power backup
    • Installation room and antenna support
    • Local technical/logistical assistance for Base & Repeater setup

Communication Disclaimer

  • Radio communication depends on:

    • Line of sight
    • Transmission power
    • Battery condition
    • Terrain and environmental factors
  • POC Radio depends on network operator signal

The Company does not guarantee communication in:

  • Dead zones
  • Shadow areas
  • Network failure zones

Charges Exclusion

  • Government License fees (MOIC)
  • TAX/VAT
    are not included in the quoted price.

Refer to catalog for optional accessories and additional details.

Logistics & Site Expenses

The client shall bear all expenses related to:

  • Transportation (both ways)
  • Lodging
  • Food
    for two (2) company technicians deployed at the project site.

8. Walkie Talkie License Process

Order Confirmation

  • Minimum 50% advance payment required with Purchase Order
  • Remaining payment before delivery

Documentation

The Company will:

  • Provide required documents for application submission
  • Prepare:

    • License application
    • Frequency request
    • Data forms
    • Site details

Client must arrange required recommendation (Sifarish) as per regulations.

Approval Process

  • Application submitted to District Administration Office and relevant authorities
  • Final approval and frequency allocation by Communication Ministry

Estimated Processing Time: 8–10 weeks

(Subject to government procedures; not under Company control)

Government officials may visit the site.

All related expenses (TADA) must be covered by the client.

Post Approval

  • License issuance
  • Frequency tuning (approx. 1 day)
  • Equipment delivery
  • Government verification (mandatory)

After verification, the client is authorized to use the radio within licensed parameters.

9. Service Suspension / Termination

If full payment is not received within the agreed credit period from the radio activation date:

  • Services may be suspended without prior notice
  • This may affect group communication systems

10. Renewal Policy

  • The Company will send renewal reminders.
  • It is the client’s responsibility to renew on time.
  • Failure to renew may result in termination of communication services.
